The following terms & liabililty statement applies to all purchase orders issued by
Würth Industry North America (WINA) and its affiliated companies:

"Seller covenants and agrees at all times to defend, hold harmless and indemnify Buyer and its affiliates from and against any and all damages, losses, costs and expenses and from and against any and all claims, suits, actions or legal proceedings of any kind brought against Buyer or its affiliates, by or on account of any person or entity, howsoever arising, including without limitation, by reason of negligence, breach of warranty, defect in design, material or workmanship, strict liability or otherwise, for loss of life or personal injury, property damage or otherwise, directly or indirectly caused by, or growing out of a breach of this order, defects in the design, manufacture, or materials used in the products, negligence in the manufacture of the products supplies, performance of the services hereunder, or any other activities of Seller, its employees, agents or subcontractor. Seller shall not consummate any settlement without Buyer’s prior written consent. Seller’s covenants of indemnity herein will continue in full force and effect notwithstanding the termination or expiration of this Agreement."
